Partner programme terms
These are the terms you accept when you join the Govchain partner programme. They are between you, the person or business that signed up, and Govchain (Pty) Ltd, registration number 2017/257825/07. Version 2026-08-31-draft.
1. What this is
Govchain registers South African companies and keeps them compliant with CIPC and SARS. You refer customers to us with your tracked link or code. We pay you a share of what those customers spend, or pass that share to them as a discount if you choose. Nothing here obliges either of us to build software, integrate systems or commit to any volume. The arrangement is non-exclusive both ways: you may work with other providers, including our competitors, and we work with other partners and market directly to the public.
2. Words we use
- Referred customer
- A person or company that creates a Govchain account through your link or code and was not already a Govchain customer at the time. Our attribution records decide who counts. A genuine dispute is settled in good faith against those records.
- Net service fees
- What a referred customer actually pays Govchain for services, less the statutory and government fees we pay over to CIPC, SARS and the like, amounts paid to third parties, VAT, and anything refunded, reversed or charged back.
- Trail
- The twelve months from the date of a referred customer’s first paid order.
3. Commission
We pay you 20% of net service fees on every order a referred customer pays during their trail, whatever they buy. Govchain Pro and Govchain Payroll bill monthly: if a subscription starts inside the customer’s trail, you earn 20% of each month’s fee for twelve months from the subscription’s own start. A subscription that starts after the trail has ended earns nothing.
Commission accrues only once we have received the money. If a payment is later refunded, reversed or charged back, the matching commission comes off your next statement. If we have already paid it to you, we carry it against your future commission rather than asking for it back.
Commission is quoted excluding VAT. If you are VAT registered, you invoice us for each statement with VAT on top. A referred customer does not also take part in Govchain’s customer-to-customer referral reward.
4. Statements and payment
On the 1st of each month we issue a statement for the previous month showing each referred company, the month and the commission on it. We pay it by EFT within 15 days of month end, into the bank account on your partner dashboard. A statement under R500 rolls over and its balance carries into the next month. A refund recorded after a month has closed appears on the following statement. Without bank details a statement waits until there is an account to pay into.
5. Taking it as a discount instead
Some partners cannot accept referral income. If you choose to pass the 20% on, your referred customers get 20% off Govchain’s service fees on their orders for their trail and you earn nothing. The discount applies to orders placed in the Govchain cart; Pro and Payroll subscriptions renew at the plan price, with no discount and no commission. It does not stack with coupon codes. You pick one mode for your whole account, not per customer, and once commission has been recorded on your account the mode changes only by asking us.
6. What each of us does
We deliver the services, handle all customer support, billing and fulfilment, and own the customer relationship from signup on. Service questions from your referred customers come to us, not to you.
You promote Govchain to your own audience using your link or code. You are a referrer, not our agent: you do not negotiate, contract or collect money on our behalf, you do not perform or claim to perform any CIPC or SARS filing, and you do not promise more about our services than our own published materials do. Neither of us owes the other any minimum volume, spend or result.
7. FICA
Each of us meets our own obligations under the Financial Intelligence Centre Act. We do customer due diligence on referred customers ourselves, exactly as we do for customers who come to us directly. You do none for us and we do none for you, and neither of us may rely on the other’s checks.
8. Your customers' information
The referral is link-based by design. Your customer comes to Govchain and enters their own details, so in the ordinary course no personal information passes from you to us. Your dashboard and statements show you, for each referred customer, the company name, the month, the commission and whether it has been paid. They do not show what the customer bought or who at the company dealt with us. If we ever agree to share personal information, we will first record the lawful basis and sign a data-sharing addendum under POPIA. Each of us processes what we hold under our own POPIA obligations.
9. Using each other's names
Either of us may say the other is a partner. Any use of the other’s name, logo or wordmark beyond that plain statement needs written approval of the specific material; email is fine. You will not bid on “Govchain” or confusingly similar terms in paid search, and you will not send your link through unsolicited bulk messaging.
10. Pausing and ending
These terms run month to month. Either of us can end them on 30 days’ written notice, without giving a reason and without penalty, or at once if the other materially breaches and has not put it right within 14 days of being told. We may pause your link while we look into something; a paused link stops tracking new customers, and what you have already earned is still shown and still paid.
Customers referred while these terms were in force keep earning for their full trail after the terms end. Sections 3, 4, 8 and 11 survive termination.
11. Liability
Neither of us is liable to the other for indirect or consequential loss. Each party’s total liability under these terms is capped at the greater of R50,000 and the commission paid or payable in the twelve months before the claim arose. Nothing caps liability for fraud, or for a POPIA breach caused by a party’s own conduct.
12. The rest
These terms are the whole agreement on their subject; changes must be in writing. Where you have a separately signed partner agreement with Govchain, that agreement applies wherever it differs from these terms. Neither of us may cede or assign without the other’s written consent. South African law governs these terms and the South African courts have jurisdiction. Notices go by email, to partners@govchain.co.za on our side and to the address on your partner account on yours, and count as received on the next business day. We may update these terms for new partners; the version you accepted is recorded on your account.
